购销合同的格式条款
(1)提供格式条款一方在拟定合同条款及在订立合同时，应当遵循公平的原则确定双方的权利和义务，不能利用自己的优势地位制定不公平的条款欺负对方当事人。同时，提供格式条款的一方当事人应当采取合理的方式提请对方注意免除或者限制责任的条款，并按照对方的要求，对该类条款予以说明。
(2)在合同中规定，免除提供格式条款一方当事人主要义务，排除对方当事人主要权利的条款无效;具有合同法第52、53条规定的情形的，该条款无效。
(3)对格式条款的'理解发生争议的，如果有两种以上解释的，从保护弱者出发应作出不利于提供格式条款一方的解释;格式条款与非格式条款不一致的，应当采用非格式条款。非格式条款一般是在格式条款外另行商定的条款，或对原来的格式条款重新协商修改的条款，是当事人的特别约定，如果与格式条款不一致，当然采用非格式条款。
